Constitution of the Vietnam Peace and Development Foundation (VPDF)

(Ratified by Decision #60/QĐ-BNV of January 15th, 2009
of the Minister of Home Affairs)

Chapter I: General Stipulations

Article 1. Appellation
In Vietnamese: Quỹ Hoà bình và Phát triển Việt Nam
In English: Vietnam Peace and Development Foundation (VPDF).


Article 2. Aim, Objectives and Legal status
1. The Vietnam Peace and Development Foundation (hereinafter referred to as Foundation) is a non-profit organization working for peace, national independence, democracy and social progress, for equitable and sustainable development.
2. The Foundation is affiliated to the Vietnam Union of Friendship Organizations, and operates on the principles of non-profit, voluntariness, self-management, and self-accountability for its performance before the laws of the Socialist Republic of Vietnam.
3. The Foundation shall have legal person status, its own stamp, assets and bank accounts. Its Head Office shall be in Hanoi.

Chapter II: Functions and Duties

Article 3. Functions
The Foundation shall have the functions of organizing or taking part in activities in the fields of people-to-people diplomacy, research and information, and other economic, social and cultural activities related to issues of peace and development.
Article 4. Duties
1. To organize researches and exchanges of information related to issues of peace and development; to take part in elaborating counter-argumentations and recommendations to be submitted to research and policy-making bodies of Vietnam in compliance with stipulations by the law.
2. To co-organize with local and foreign partners or to take part in activities for peace and development; to join certain international organizations in conformity with the Foundation’s aim and objectives and in compliance with stipulations by the law.
3. To solicit financial assistance from local and foreign organizations and individuals in compliance with stipulations by the law, in order to develop the Foundation’s own activity and help other organizations and individuals engaged in people-to-people diplomacy for the objectives of peace and development.

Chapter III: Operational and Organizational Principles

Article 5. Operational Principles
1. The Foundation shall operate on the principles of voluntariness, consultation, democracy and collectivity in taking decisions on issues falling under its competence and responsibility.
2. It shall operate in compliance with its own Constitution, the Statutes of the Vietnam Union of Friendship Organizations, and stipulations by the laws of the Socialist Republic of Vietnam.

Article 7. The Convention
The Convention shall be convened once every five years, and shall have the following tasks:
1. To take stock of the Foundation’s performance during the outgoing five years and map out orientations and tasks for the incoming five years.
2. To take decisions on amending the Constitution, elect the Council and the Board, and approve the financial report of the outgoing term.
Article 8. The Council
1. The Council shall be the Foundation’s highest governing body during the period between two Conventions. It shall be composed of the President, Vice-Presidents, General Secretary, and other Council members. It shall meet once a year to:
a) take stock of past activities and lay down orientations and plans for the upcoming year with a view to implementing the Convention’s Resolution;
b) approve the co-optation of new Council or Board members upon request from the Board or from over one-third of the Council’s membership;
c) approve the annual financial report.
2. The President shall be the Council’s highest governing person and shall be accountable for all the Foundation’s performance before the Vietnam Union of Friendship Organizations and before the law. The Vice-Presidents shall assist the President in the direction of specific fields of activity as assigned by the President. In case of need, the President shall empower a Vice-President to represent him/her.
3. Membership in the Council shall be open to Vietnamese citizens with in-depth experience in the political, economic, cultural and social fields, in foreign relations or other related domains, who agree with the Foundation’s aim, objectives and Constitution, have conditions and the voluntariness to work for the Foundation, and are accepted by the Board and approved by the Council.
Council members shall have the responsibility of implementing the Foundation’s Constitution, taking part in its activities, or making intellectual or financal contributions to it. They shall have the right to take part in Foundation activities, and to be informed about and make use of the outcome of researches and other activities conducted by the Foundation.
4. Associated membership in the Foundation shall be open to individuals who have the capacity, conditions and voluntariness to join specific research projects or activities of the Foundation.
Article 9.  The Board
1. The Board of the Foundation Council shall be the Foundation’s governing body during the period between two Council meetings. It shall be composed of the President, Vice-Presidents, General Secretary, and other Board members.
2. The Board shall have the following functions and duties:
a) To determine measures for the implementation of the orientations and plans laid down by the Council.
b) To take decisions on the appointment or dismissal of a Deputy General Secretary or a Secretary, the establishment or dissolution of a functional body of the Foundation, and the establishment or dissolution of a working group in charge of Foundation activities.
c) To issue regulations on the management and utilization of the Foundation’s finances; to take decisions on measures for financial management and promotion.
d) To prepare the content for Council meetings.
e) To map out for the Foundation orientations on issues related to peace and development.
f) The Board shall meet once every three months.
Article 10. The Secretariat
1. The Secretariat shall be composed of the President, Vice-Presidents, General Secretary, Deputy General Secretary, and Secretaries.
2. It shall be tasked with organizing the implementation of the decisions of the Board, and deploying Foundation activities. It shall meet once a week; extraordinary meetings shall be convened by the President.
3. The General Secretary shall be responsible for administering the Foundation’s daily work, organizing the management of its finances and assets, and reporting periodically to the Board on the Foundation’s performance.
4. The Deputy General Secretary shall assist the General Secretary and be empowered by the latter to represent him/her in case of need.
Article 11. The Control Commission
1. The Control Commission shall be composed of the Chairperson, Deputy Chairperson and a member, all appointed by the Council. The Chairperson shall be a member of the Foundation Council.
2. The Control Commission shall operate on the principle of autonomy, and shall have the duties to monitor and oversee the Foundation’s performance in compliance with the Foundation’s Constitution and stipulations by the law, to report to the Council on its operation and the Foundation’s financial situation, and to make recommendations accordingly.
Article 12. Functional bodies
1. The functional bodies of the Foundation shall be established by decision of the President and upon proposal by the General Secretary for the implementation of concrete tasks, and shall operate in compliance with regulations laid down by the Board.
2. When necessary, the Foundation may establish branches or representative offices in provinces or cities other than where its Head Office is located, subject to approval by the local provincial or city People’s Committee. The Board shall decide on the establishment of a branch or representative office and on its powers and responsibilities upon proposal by the General Secretary, and shall notify in writing the competent State agency by whose decision the Foundation has been established.

Chapter IV: Finances

Article 13. Revenues
1. Voluntary contributions from members and local and foreign organizations and individuals in compliance with stipulations by the law;
2. Grants from organizations and individuals to research projects or other activities;
3. Bank deposit interest earnings, and other revenues in compliance with stipulations by the law.
Article 14. Utilization of finances
1. To cover activities in implementation of duties as stipulated by the Constitution;
2. To assist activities in people-to-people diplomacy;
3. To cover administrative operations of the Foundation in compliance with current stipulations by the law.
Article 15. Management of finances
The Foundation’s finances shall be managed in compliance with stipulations by the law on accounting, statistics and financial management.
The General Secretary shall have the responsibility to exercise financial management, and to submit financial reports to the Board, the competent agency by whose decision the Foundation has been established, and other related State bodies.
 
Chapter V: Implementation provisions

Article 16. Revision or Amendment of the Constitution
The Constitution shall have to be adopted by the Convention of the Foundation. Only the Convention shall be entitled to revise or amend the Constitution of the Foundation.
Article 17. Implementation effectiveness
The Constitution of the Vietnam Peace and Development Foundation, composed of five chapters and seventeen articles, was adopted by the Second Convention on June 14th, 2008 in Hanoi. It shall be effective as of the date of its ratification by the competent State agency of the Socialist Republic of Vietnam./.
